01 · Status
Business customers only
These terms apply to organisations seeking a Proven Companies assessment for business purposes. They are not consumer terms. The contracting entity is Proven Holding, UAB, legal entity code 308121918, unless an accepted proposal expressly names another Proven group company.
Proven™ certification is a private commercial service. It is not government accreditation, a statutory audit, a credit rating, legal or financial advice, a guarantee of solvency, product approval or a prediction of future conduct.
02 · Agreement
How a contract is formed
A website enquiry or application is not an order and does not create a contract. A contract is formed only when Proven accepts the customer’s application in writing and the customer accepts the applicable proposal or order, these terms, the stated methodology and any country-specific conditions.
If documents conflict, the accepted proposal or order takes priority for commercial details, followed by country-specific conditions, these terms, the methodology and the website.
03 · Customer information
Authority, accuracy and cooperation
The customer confirms that its representative is authorised to apply and that information supplied is accurate, current, complete and lawfully disclosed. The customer must promptly explain inconsistencies and notify Proven of material changes affecting the assessment or a live certificate.
Proven may request evidence, clarification or authorised access to relevant information. The customer must not submit unnecessary personal, confidential or special-category data through email or a public form.
04 · Assessment
Evidence and decision
Proven assesses the applicant against the methodology and evidence applicable to the company, country and assessment date. Information may come from the customer, lawful public sources and approved data providers.
Proven may decline, defer or close an assessment where information is missing, inconsistent, unavailable or outside the service scope. Payment does not guarantee certification. The decision is limited to the stated assessment and does not express an opinion on products, individuals or future performance.
05 · Fees
Price, tax and payment
The fee, included deliverables, taxes, payment date and any physical delivery charges will be stated in the accepted proposal or order. No public website payment is currently offered. Payment instructions are supplied separately after initial review.
The accepted proposal or order states when work starts, whether any fee is refundable if the customer withdraws or is not certified, and how additional work or replacement physical materials are charged.
06 · Certification period
Issue, validity and use
If the applicant meets the applicable criteria, Proven may issue a uniquely identified certificate and approved digital assets for the legal company, country, activity and validity period stated in the record. Certification begins and ends on the dates shown in the public verification record unless suspended or withdrawn earlier.
Use of the certificate, badge and marks is subject to the Certification Mark Rules. Certification does not renew automatically unless the accepted order expressly says so.
07 · Public record
Verification and company profile
The customer authorises Proven to publish the certification status and core business record needed for verification, including the legal company name, company number, country, activity, certificate code, issue date, valid-until date, status and an approved short description.
Expired, suspended or withdrawn status may remain visible where reasonably necessary to prevent misleading use of an older certificate. The public record, not a copied certificate image, is the authoritative current status.
08 · Changes
Material changes and reassessment
The customer must promptly notify Proven of insolvency events, material filing changes, a change of legal identity or control, suspected fraud, regulatory action or other facts reasonably capable of affecting certification. Proven may request reassessment and may amend the public record while the matter is reviewed.
09 · Status changes
Suspension, withdrawal and expiry
Proven may suspend or withdraw certification where criteria are no longer met, material information was inaccurate or withheld, fees remain unpaid, marks are misused, a required reassessment is not completed, or continued publication would be misleading or unlawful. Where appropriate, Proven will explain the reason and provide the route to appeal.
On expiry, suspension, withdrawal or termination of permission, the customer must stop presenting itself as currently certified and remove affected marks from controlled channels within the period stated in the Mark Rules.
10 · Review
Complaints and appeals
A customer may request correction of a factual error, complain about service, or appeal an adverse certification decision under the Complaints & Appeals Policy. An appeal does not itself change the current public status.
11 · Responsibility
Customer decisions and liability
Certification is evidence-based recognition at a point in time. The customer remains responsible for its conduct, filings, claims and use of certification materials. Third parties remain responsible for their own commercial and due-diligence decisions.
The accepted proposal or order may include a proportionate liability framework and legally permitted exclusions. Nothing in these terms excludes liability that applicable law does not permit to be excluded.
12 · Data and confidentiality
Information handling
Each party must use reasonable measures to protect confidential information. Proven may use approved suppliers where necessary to deliver the service and may retain evidence needed to support the decision, respond to challenges and meet legal obligations. Personal data is handled as described in the Privacy Notice.
13 · Law
Changes, law and contact
These terms and the accepted agreement are governed by Lithuanian law while Proven Holding, UAB is the contracting party, subject to any mandatory applicable law. Contract-specific changes must be agreed in writing. Questions may be sent to info@provencompanies.com.
